The following terms and conditions govern the direct sale of all equipment, software, and services provided by Slate Cybersecurity Consulting, LLC (Slate Cyber). When placing an order with Slate Cyber by signing a written quote or by submission of an online/eMail approval, or by requesting a technical consultation via eMail, telephone or in person, the customer agrees to be bound by and accepts these terms and conditions.
1. Scope of Work
The scope of work that Slate Cyber agrees to perform for the customer shall be defined in the quote or in referenced documents. Slate Cyber is not required to provide any additional services to the customer other than that defined in the quote or associated documents. Any additional work needs to be agreed to on a separate quote.
2. Warranties and Licensing
For any warranty claim on services performed, Slate Cyber’s sole and complete liability shall be to remedy the problem within a reasonable period after notification of the issue. Slate Cyber’s liability to the customer shall under no circumstances exceed the sums paid by the customer for the work performed. Any claims under this warranty must be brought within a period of six months of work completion, or they shall be deemed waived. In no case shall Slate Cyber be liable to the customer for indirect, consequential or incidental damages, even if Slate Cyber has been advised of the possibility of such damages.
3. Payment
Payment for service is due as a 50% deposit before work commences, and 50% net 30 days after work is complete. Invoices not paid within 30 days after delivery will incur an interest charge of 1.5% per month, or 18% per year until payment is received. In the event of a default with respect to the payment of any invoice, customer shall be liable for all of Slate Cyber’s reasonable attorney’s fees, including all costs, disbursements and fees incurred in the collection of any amounts due.
4. Force Majeure
Slate Cyber shall not be liable for its delay or failure in performing work due to conditions or events beyond its reasonable control, including but not limited to, natural disasters, accidents, labor disputes or shortages, governmental laws, ordinances, rules and regulations, and inability to obtain materials, equipment or transportation.
5. Termination
The customer may terminate any work up to 10 working days before work is scheduled to commence. Cancellations received within less than 10 working days before the scheduled commencement of work will be subject to a cancellation fee. This fee will be assessed at 5% of the total cost of the work for each day under 10 working days before work is scheduled to commence.
If the customer terminates the work after work has commenced, customer shall not be entitled to a refund of any fees.
Any charges incurred by Slate Cyber as a result of a customer termination, including but not limited to restocking fees, shipping charges, travel cancellation, and inability to return equipment shall be paid by the customer.
6. Governing Law
The validity, interpretation, and performance of the rights and obligations of the customer and Slate Cyber are governed by the laws of the State of Connecticut, without regard to its rules concerning conflicts of law. The parties hereto irrevocably consent to suit and submit to the jurisdiction of the courts, Federal and State, located in the State of Connecticut. Slate Cyber reserves the right to change these terms and conditions without prior written notice at any time, at its sole discretion; the most current version of these terms and conditions will be posted on this web site, or available upon request. These terms and conditions may not be supplemented, modified, or altered by the use of any other document(s). Any attempt to alter, supplement, modify, or amend these terms and conditions will be null and void unless agreed to in writing by Slate Cyber. These are the policies that Slate Cyber has developed. It should be noted that these are standard Terms and Conditions used in the industry. The purpose of these policies is to protect the Customer and Slate Cyber from misunderstandings and unnecessary legal conflicts.
7. Data Processing
Slate Cyber will not transfer data provided by Customer to external parties, contractors, vendors or service providers unless those external parties provide the equivalent level of protection that Slate Cyber provides. To ensure the external parties provide the appropriate level of protection, Slate Cyber conducts regular due diligence in accordance with internal policies and procedures. As a company operating strictly within North America, Slate Cyber will only use data centers located inside North America, or within the countries where Customer operates.
